Corporate Associate

1–3 Years PQE

About the Role

Join our growing corporate practice on an independent contractor basis, advising Toronto founders, family businesses, and growth-stage companies on incorporation, shareholder agreements, contract negotiation, and day-to-day commercial matters. The engagement is fully remote with flexible hours — you set your own schedule and work methods, subject to client deadlines and confidentiality obligations.

Key Responsibilities

  • Draft and negotiate shareholder agreements, share purchase agreements, and commercial contracts on assigned files.
  • Handle corporate-secretarial work for an assigned portfolio of owner-managed clients.
  • Collaborate with our founder on cross-border structuring and M&A engagements.

Qualifications

  • Currently licensed and in good standing with the Law Society of Ontario, with active LawPRO professional liability insurance.
  • 1–3 years of corporate / commercial experience.
  • HST-registered (or willing to register) and able to issue compliant invoices for services rendered.
  • Strong drafting and negotiation skills with attention to detail.

M&A Associate

3–5 Years PQE

About the Role

Lead and support buy-side and sell-side M&A engagements for owner-managed and growth-stage businesses, including cross-border transactions involving European and U.S. counterparties. The engagement is fully remote on an independent contractor basis — you bring your own systems, set your own schedule, and invoice the firm hourly for time on engaged matters.

Key Responsibilities

  • Draft and negotiate purchase agreements, escrow arrangements, and ancillary deal documents on assigned files.
  • Manage due-diligence workstreams alongside legal, tax, and accounting advisor teams retained on the file.
  • Handle post-closing integration and corporate-secretarial cleanup.

Qualifications

  • Currently licensed and in good standing with the Law Society of Ontario, with active LawPRO professional liability insurance.
  • 3–5 years of M&A or transactional experience, with deal-lead exposure on transactions of $5M+ enterprise value.
  • HST-registered and able to issue compliant invoices for services rendered.
  • Cross-border experience (Canada–U.S. or Canada–EU) preferred.

Corporate Law Clerk

Entry-level (0–2 Years)

About the Role

Support our remote corporate practice with corporate-secretarial work, registry filings, minute-book maintenance, due-diligence support, and document preparation under lawyer supervision. The role is fully remote with structured handoffs and weekly team check-ins — designed for a self-directed clerk who wants substantive transactional exposure from day one.

Key Responsibilities

  • Prepare and maintain minute books, registers, and corporate records using practice-management tools.
  • Coordinate provincial and federal registry filings (Ontario and Canada) — incorporations, amendments, annual returns, dissolutions.
  • Support due-diligence and closing workstreams on M&A and reorganization files (data-room indexing, document review, signing logistics).

Qualifications

  • ILCO designation completed or actively in progress, or equivalent corporate-law-clerk training.
  • Working knowledge of the Ontario Business Corporations Act and the Canada Business Corporations Act, including registry workflows.
  • Proficient with Microsoft Office and standard corporate practice-management tools.
  • Strong attention to detail and self-directed work habits suited to a remote role.

Legal Assistant

Corporate / Commercial

About the Role

Support our remote corporate practice with file management, document preparation, client correspondence, and corporate-secretarial filings across Ontario and federal registries. The role is fully remote with structured collaboration touchpoints and an emphasis on self-directed file ownership.

Key Responsibilities

  • Prepare and revise corporate documents — resolutions, registers, share certificates, and minute books — under lawyer supervision.
  • Coordinate filings with provincial and federal corporate registries.
  • Manage client onboarding, conflict checks, and matter-intake workflows.

Qualifications

  • 2+ years of legal-assistant experience in a corporate or commercial practice.
  • Strong written communication in English.
  • Experience with Ontario provincial registry filings preferred.
  • Proficient with Microsoft Office and standard practice-management tools; comfortable working independently in a remote environment.
